GOTENDER — SELLER TERMS, CONDITIONS & DISCLAIMERS (SELLER AGREEMENT) Effective date: 2 July 2026 · Version 1.0 This Agreement applies to every seller — shop, service provider, hotel, restaurant/food business or real-estate consultant — selling through GoTender, a hyperlocal delivery and e-commerce marketplace operating in India and in international markets where Razorpay International payment processing is supported. Your acceptance at registration is recorded electronically (timestamp, IP, device) and constitutes a binding electronic contract under the IT Act, 2000 and equivalent laws of your country. It applies in addition to the Customer Terms. 1. YOUR STATUS — SELLER OF RECORD 1.1 You are the SELLER OF RECORD for everything you list. You alone are responsible for product/service quality, safety, accurate description, pricing, invoicing, taxes, warranties and legal compliance in every market you serve. 1.2 GoTender provides discovery, catalogue, ordering, complaint and record-keeping technology as a marketplace intermediary and is not a party to your sales contracts. 2. REGISTRATIONS, LICENCES & KYC VERIFICATION 2.1 India: obtain and maintain GST registration where required (CGST Act, 2017) and declare correct GSTIN, tax rates and HSN/SAC codes; ALL food businesses must hold a valid FSSAI licence/registration (Food Safety and Standards Act, 2006) — it is mandatory at registration and displayed on your shop page; maintain trade / Shop & Establishment licences; hotels and real-estate consultants must comply with applicable state registration (e.g., RERA for real-estate agents). 2.2 Other countries: hold the equivalent tax registrations (VAT/GST), food-safety certifications, hospitality licences, professional licences and permits required by your law, and declare your tax ID and registered legal name. 2.3 KYC: upload verification documents (GST certificate, FSSAI licence, PAN, trade licence, identity proof) in Shop Settings. GoTender may verify, grant or withdraw the "Verified" badge, and may suspend shops whose documents are missing, false or expired. 3. LISTINGS & CATALOGUE RULES 3.1 Describe items truthfully with genuine images/media (up to 6 media items per product, including video and YouTube). Misleading listings are unfair trade practices (Consumer Protection Act, 2019). 3.2 Food items: the Veg/Non-Veg mark is MANDATORY, together with ingredient and allergen declarations and a best-before/consume-within statement (FSS Labelling & Display Regulations, 2020). Never list expired stock. Maintain Schedule 4 hygiene. 3.3 Packaged goods in India must comply with the Legal Metrology (Packaged Commodities) Rules, 2011 — MRP, net quantity, manufacturer, country of origin. 3.4 Prohibited: illegal or counterfeit goods, weapons, narcotics, wildlife products, and anything restricted by the law of any market you serve. GoTender follows notice-and-takedown and may remove listings at its discretion. 3.5 You warrant that you own or are licensed to use all content you upload, and you grant GoTender a licence to display it. 4. FULFILMENT — HYPERLOCAL DELIVERY, PICKUP, COURIER & TIME SLOTS 4.1 Keep your location, service radius, open/closed status, stock and time slots accurate. Confirm or cancel new orders promptly; repeated unjustified cancellations may lead to suspension. 4.2 Home delivery within your declared radius must be safe and hygienic. If you disable home delivery, customers are offered courier and pickup only. 4.3 Courier: if enabled, dispatch within a reasonable time with adequate packaging; your courier charge must be a genuine, disclosed charge. You bear responsibility for the goods until delivery. 4.4 Honour the time slots you publish and the pickup arrangements you accept. 5. PRICES, TAXES, INVOICES & PAYMENTS 5.1 Display total prices including mandatory charges. You must issue and honour the tax invoice generated for each order and account for all taxes on your sales in every jurisdiction where you sell. GoTender provides invoice records but is not your tax agent. 5.2 Order payments are settled directly between you and the customer (COD, pay at shop, UPI). Collect COD honestly; mark orders paid truthfully. 6. PLATFORM SUBSCRIPTION (RAZORPAY) 6.1 Seller subscription fees are payable to GoTender through Razorpay, which supports domestic Indian payment methods and international cards via Razorpay International in supported countries. Subscription invoices are emailed to you and available in your panel. 6.2 Fees are non-refundable once a period begins, except where the law requires otherwise. GoTender may revise fees prospectively with notice. Non-payment may limit seller features after your current period ends. 7. POINTS, COUPONS & PROMOTIONS 7.1 Loyalty points and coupons you enable are funded by you and constitute your offer to customers; honour them as displayed. Configure rates responsibly; changes apply prospectively. 8. CUSTOMER DATA & PRIVACY 8.1 Customer data received with orders (name, address, phone) may be used ONLY to fulfil those orders — never for unsolicited marketing or resale — consistent with the DPDP Act, 2023 / GDPR. Breach is ground for immediate suspension. 9. COMPLAINTS, RECORDS & LEGAL PROCEEDINGS 9.1 Respond to customer complaints within 48 HOURS. GoTender may add a platform response and mediate. 9.2 You acknowledge that complaint records, order records, your registration details and your electronically recorded acceptance of this Agreement are maintained as formal records and MAY BE PRODUCED BEFORE CONSUMER COMMISSIONS, COURTS OR AUTHORITIES. 9.3 You must honour the Cancellation & Refund Policy: refunds within 7 days of valid cancellation/accepted return; statutory replacement/refund of defective, unsafe or not-as-described items. 10. INDEMNITY You indemnify and hold harmless GoTender, its officers and staff against all claims, penalties, losses and costs (including legal fees) arising from your products, services, listings, deliveries, tax defaults, IP infringement or breach of law or of this Agreement. 11. SUSPENSION & TERMINATION 11.1 GoTender may suspend or remove your shop or listings for breach of law or this Agreement, including unsafe food, counterfeit goods, document fraud, repeated complaints, data misuse or abusive conduct. Where practicable we will notify you and hear you. 11.2 You may close your shop at any time; obligations relating to pending orders, refunds, records and indemnity survive termination. 12. DISCLAIMERS & LIABILITY 12.1 The Platform is provided "as is"; GoTender does not guarantee order volumes, search placement or uninterrupted availability. Third-party services (Razorpay, Twilio/WhatsApp, email, maps, translation) are governed by their own terms. 12.2 To the maximum extent permitted by law, GoTender's aggregate liability to a seller in any 12-month period is limited to the subscription fees paid by that seller in that period. 13. GOVERNING LAW Indian law governs this Agreement; courts at Kolkata, West Bengal have jurisdiction, without prejudice to mandatory protections available to you in your own country. 14. CHANGES & CONTACT GoTender may update this Agreement prospectively with notice on the Platform; continued selling constitutes acceptance.
